The terms "we", "us", "our," "Company," or "Wedding Compass" refer to Wedding Compass, Inc., a California corporation. "You" or "your" refers to the company who uses our website to provide information about the company to users of our website. Your use of this website (which includes services that you pay for as well as any complimentary services that you might receive) is governed by the terms and conditions as they exist at the time of your use. We reserve the right to change the terms and conditions in the future without notice, and we reserve the right to restrict or delete your listing and terminate your use of our website for any violations of the terms and conditions set forth below.
1. Your Information. Information is defined as any information you provide to us or our users in the registration or publication process or through any e-mail feature. You are solely responsible for your Information, and we act as a passive conduit for your online distribution and publication of your Information. The Information that you provide to us or that you post on our website or communicate with our users shall not: (a) be false, inaccurate or misleading; (b) be fraudulent; (c) infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (d) violate any law, statute, ordinance or regulation; (e) be defamatory or libelous; (f) be obscene; (g) be provocative; (h) contain any viruses, Trojan horses, worms or similar programming routines that may damage the computers of either us or our users; (i) create liability for us or cause us to lose (in whole or in part) the services of our other vendors. 2. Valid Contact Information. You agree to keep your contact information updated at all times, including but not limited to your company's name, physical address (including county), mailing address, telephone number, fax number, and e-mail addresses. Also, when you are contacted by any of our users, you agree to respond promptly to any inquiries and to provide them with valid and complete contact information.
3. License Grant. To enable Wedding Compass, Inc. to use the Information that you supply to us, and so that we are not violating any rights you might have in that Information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, paid-up, royalty-free, sub-licensable right to exercise any intellectual property rights (including, but not limited to, copyright, publicity, or database rights) that you have in the Information.
4. No Links to external Websites. We will provide you an area to link to your company website. You agree that your "Company Information section" on your profile page will not contain links, domain names, or addresses to other websites, including any website for the business that you are advertising on Wedding Compass. So this falls into the Section 5 area below.
5. No Promotion of Other Businesses. You are only allowed to promote a single wedding-related business on our website for your profile page, and you agree that your Information will not contain information about or advertisements for other companies (whether or not they are owned by you). You are allowed to use our new "Company's we like" component to show off your business friends that also advertise on the site.
6. Outages. Whether due to planned upgrades or unplanned technical issues, our website may be temporarily unavailable at times. You are not entitled to any refunds or credits based upon such unavailability, regardless of whether the event was within our control.
7. Warranty and Liability Disclaimer. WE MAKE NO EXPRESS WARRANTIES REGARDING OUR PERFORMANCE UNDER THIS AGREEMENT AND WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANT-ABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING CLAIMS FOR LOST PROFITS OR LOST BUSINESS) ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THIS WEBSITE, WITH THE DELAY OR INABILITY TO USE THIS WEBSITE, OR FOR ANY INFORMATION, PRODUCTS OR SERVICES OBTAINED OR CONTRACTED FOR THROUGH THIS WEBSITE OR OTHERWISE ARISING OUT OF THE USE OF THIS WEBSITE, WHETHER BASED ON TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. ANY CAUSE OF ACTION YOU MAY HAVE WITH RESPECT TO THIS WEBSITE MUST BE COMMENCED WITHIN ON YEAR AFTER THE CLAIM OR CAUSE OF ACTION ARISES OR SUCH CLAIM OR CAUSE OF ACTION IS BARRED. OUR AGGREGATE LIABILITY TO YOU UNDER THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT THAT YOU HAVE PAID TO US DURING THE MONTH WHEN YOUR CLAIM AROSE AND THE TWO (2) PREVIOUS MONTHS.
8. Applicable Law and Venue. You agree that this Agreement, the rights and obligations of the parties here-under, or any other dispute between you and us will be construed in accordance with and be governed by the laws of the State of California, without giving effect to conflicts of law principles. Any dispute arising under or relating to this Agreement will be resolved exclusively in the federal or state courts located in Orange County, California, without a jury, and both parties hereby consent to such waiver of the right to a jury and to the exclusive personal jurisdiction and venue of such courts.
9. Copyright and Trademark Notice. The contents of this website are copyrighted by Wedding Compass, Inc., a California corporation, with all rights reserved. Wedding Compass, weddingcompass.com, and all Wedding Compass logos are trademarks of Wedding Compass, Inc. and may not be used without our prior written consent. Other product or company names mentioned on our website may be trademarks of third parties. All software used on this website is our property or the property of our software suppliers and is protected by U.S. and international copyright laws. The reproduction, modification, distribution, transmission, republication, display or performance of our content on this website is strictly prohibited.
10. Copyright Infringement. Wedding Compass respects the intellectual property rights of others. Accordingly, Wedding Compass has a policy of terminating (in appropriate circumstances) the account of any Wedding Compass user who repeatedly posts infringing material on the Wedding Compass site. If you believe that your copyright is being infringed by a Wedding Compass website user, please send us correspondence titled "Alleged Copyright Infringement" to info@WeddingCompass.com by providing the following information (as required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act, 17 U.S.C. sec. 512) set forth below.
a. A physical or electronic signature of person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
b. Identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
c. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Service Provider to locate the material;
d. Information reasonably sufficient to permit Service Provider to contact the complaining party, such as an address, telephone number, and if available, an electronic mail address at which the complaining party may be contacted;
e. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
f. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
11. Indemnity. You agree to defend, indemnify, and hold harmless Wedding Compass, its officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, arising from your use of this website or our content, your communications with our users, or your breach of these terms and conditions. We shall provide notice to you promptly of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit or proceeding.
12. Password. You may receive a password in connection with your use of this website. You will be responsible to maintain the confidentiality of your password and account, and will be solely responsible for all activities that occur under your password and account.
13. Email Channels. The email feature on our site is for the EXCLUSIVE use of users/couples planning their events. You may not use the email feature that is linked to your Profile Page called "Request More Info" except for simple testing to yourself. Usage of this feature to advertise your company or other companies, may result is expulsion from our site.
14. Refunds: Memberships - are non-refundable. If you cancel your account for any reason, the advertising contract is still required to be paid.
15. All contracts are for a minimum of one year and for one Venue/Location or one Vendor/Service type. When paying via a credit card, payment plan, canceling your credit card does not absolve you of your membership balance due.
16. Requesting us to PAUSE YOUR AD MEMBERSHIP/ACCOUNT online (for any reason) is acceptable, but does not provide you credit for the time paused. Your membership continues until the expiration date whether it is live or paused.
17. If the information here is changed and updated from time to time, you understand that WeddingCompass.com is not required to notify you if this page and any of it's terms change.
